    1. Introduction and Scope

    This Refund and Cancellation Policy ("Policy") explains how payments, cancellations, refunds, and payment disputes are handled for services provided by Grizzly Beam LLC ("Grizzly Beam," "we," "us," or "our"), including digital strategy, web design and development, conversion optimization, local SEO and online presence, brand and messaging, ongoing care, and related services (collectively, the "Services").

    This Policy forms part of our Terms of Service. Capitalized terms that are not defined in this Policy have the meanings given in the Terms of Service. If a separately signed written agreement or an approved Estimate contains different payment, cancellation, or refund terms, those terms apply to that engagement to the extent of the difference.

    Our Services are provided exclusively to businesses. Consumer cooling-off periods and statutory withdrawal rights that apply only to consumer purchases do not apply to the Services. Nothing in this Policy limits any right that cannot be excluded or limited under applicable law.

    2. Definitions

    • "Estimate" means the written proposal, quote, or statement of work approved by the Client, describing the scope, Deliverables, fees, payment schedule, and timeline.
    • "Deposit" means the initial payment due upon approval of an Estimate before work begins.
    • "Upfront Payment" means payment of 100% of the fee for a Service due upon approval of an Estimate.
    • "Milestone" means a defined phase of a Project, with its own Deliverables and payment, as set out in the Estimate.
    • "Work Begins" means the date on which we start performing the Services, including kickoff, discovery, research, strategy, planning, content, design, or development work, as confirmed in the Project schedule or in our written communications with the Client.
    • "Third-Party Costs" means amounts paid to third parties for the Client's Project with the Client's approval, such as domain registrations, hosting, premium plugins, fonts, stock images, software licenses, and paid services.
    • "Business Day" means a day other than a Saturday, Sunday, or US federal holiday.

    3. How Billing Works

    3.1 Estimate First

    Before any paid work begins, we provide a written Estimate. Work begins only after the Client approves the Estimate in writing and the required Deposit or Upfront Payment has been received. Work outside the approved Estimate is quoted separately and performed only after the Client approves the quote in writing. The Client is never charged for out-of-scope work that it has not approved in advance.

    3.2 Accepted Payment Methods

    We accept the following payment methods:

    • credit and debit cards, processed through Stripe;
    • ACH bank transfers; and
    • wire transfers.

    All fees are charged and payable in US dollars.

    3.3 Standard Payment Schedule

    Unless the approved Estimate provides otherwise:

    • Website design and development Projects: a Deposit of 50% of the Project fee is due upon approval of the Estimate, and the remaining 50% is due before Launch or before delivery of final files, whichever occurs first. Larger Projects may be divided into Milestone payments, as set out in the Estimate.
    • Standalone digital strategy, brand and messaging, and other fixed-fee Services: an Upfront Payment of 100% is due upon approval of the Estimate.
    • Care Plans: billed monthly in advance, as described in Section 8.
    • Approved Change Requests: billed as stated in the applicable quote.

    3.4 Clear Billing Descriptors

    Card and ACH payments appear on the Client's statement under a descriptor that identifies Grizzly Beam. Each invoice identifies the Project or Care Plan, the Services covered, the amount due, and the due date.

    4. Cancellation Before Work Begins

    If the Client cancels a Project or Service in writing before Work Begins, we will refund the Deposit or Upfront Payment in full, less any Third-Party Costs already incurred with the Client's approval. Where Third-Party Costs are deducted, we will provide an itemized statement and, where possible, transfer the related third-party accounts or licenses to the Client.

    5. Cancellation After Work Begins

    5.1 Deposits and Upfront Payments

    Once Work Begins, the Deposit or Upfront Payment is non-refundable. It reflects the time we reserve in our schedule for the Client's Project and the work performed from the start of the engagement, and it is applied to the value of the work performed.

    5.2 Amounts Due on Cancellation

    If the Client cancels a Project after Work Begins, the Client is responsible for:

    • all Milestones completed or delivered before the cancellation date;
    • work performed on the Milestone in progress up to the cancellation date; and
    • approved Third-Party Costs incurred before the cancellation date.

    Work in progress is calculated using the rates or phase values in the Estimate. Where the Estimate does not include such rates or values, it is calculated in proportion to the work completed in the relevant phase. Payments already made are applied to these amounts. If the amounts due exceed the payments made, we will invoice the difference. If the payments made exceed the amounts due, the Deposit or Upfront Payment remains non-refundable as described in Section 5.1, and any payment in excess of the Deposit or Upfront Payment that has not been applied to work performed will be refunded.

    5.3 Cancellation Statement

    Within 10 Business Days of receiving a cancellation notice, we will provide the Client with a written cancellation statement listing the work performed, Third-Party Costs incurred, payments received, and any balance due or refund owed.

    5.4 Delivery of Work on Cancellation

    Upon payment of all amounts due under the cancellation statement, we will deliver to the Client the completed work and work in progress that has been paid for, in its current state. Ownership of that work transfers to the Client in accordance with the Terms of Service.

    6. Milestone and Final Payments

    • Payments for Milestones that have been delivered, approved, or deemed accepted under the Terms of Service are non-refundable.
    • The final payment for a Project is non-refundable once the website has been Launched or the final files have been delivered.
    • If a Deliverable does not materially conform to the approved Estimate, the Client's remedy is correction of the nonconformity under the review and acceptance process described in the Terms of Service, and, after Launch, the 30-day post-launch fix period.

    7. Standalone Services and Change Requests

    7.1 Standalone Services

    For standalone digital strategy, brand and messaging, and other fixed-fee Services paid by Upfront Payment:

    • if the Client cancels before Work Begins, the Upfront Payment is refunded in full as described in Section 4;
    • once Work Begins, the Upfront Payment is non-refundable; and
    • if the Client cancels after Work Begins, we will deliver the work completed up to the cancellation date.

    7.2 Change Requests

    Fees for approved Change Requests are refundable in full if the Client cancels the Change Request in writing before we begin work on it. Once work on the Change Request begins, its fees are non-refundable.

    8. Care Plans

    8.1 Billing and Recurring Authorization

    Care Plan fees are billed monthly in advance. Where the Client pays by card or ACH, the Client authorizes us, upon enrollment, to charge the Care Plan fee to its payment method on file each month until the Care Plan is cancelled. Where the Client pays by wire transfer, we issue a monthly invoice. Care Plans renew automatically each month unless cancelled.

    8.2 Cancellation

    The Client may cancel a Care Plan at any time by giving 30 days' written notice to hello@grizzlybeam.com. Care Plan services continue, and fees remain payable, through the end of the notice period. The final billing period is the period in which the notice period ends. No charges are made for any billing period beginning after the end of the notice period.

    8.3 No Partial-Month Refunds

    Care Plan fees for a billing period that has begun are non-refundable and are not prorated for partial months or for months in which the Client did not use the services. Any unused hours or task allowances expire at the end of each billing month, unless the plan description states otherwise.

    8.4 Minimum Term

    If the approved Estimate specifies a minimum term for a Care Plan, the Client is responsible for the fees for the full minimum term, even if the Care Plan is cancelled before the minimum term ends.

    8.5 Price Changes

    We will give at least 30 days' written notice before changing Care Plan fees. If the Client does not agree to the change, it may cancel the Care Plan before the new fees take effect, and no charge at the new rate will be made.

    8.6 Failed Payments

    If a recurring payment fails, we will notify the Client. If payment is not received within 14 days of the notice, we may suspend Care Plan services until the balance is paid.

    8.7 Cancellation by Grizzly Beam

    If we cancel a Care Plan without cause, we will refund the prorated portion of any Care Plan fee paid for the period after the effective date of our cancellation.

    9. Third-Party Costs

    Third-Party Costs are non-refundable once incurred, because they are paid to third parties and cannot be recovered by us. Any refund of a Third-Party Cost is subject to the third party's own refund policy. Where Third-Party Costs relate to accounts or licenses registered in the Client's name, the Client may request refunds directly from the third party.

    10. Free Website Audit

    The free website audit is provided without charge. No payment is collected, and no refund applies.

    11. When We Issue Refunds

    In addition to the refunds described in Sections 4, 5.2, 7, and 8.7, we will issue a refund in the following circumstances:

    • Termination by Grizzly Beam without cause: we refund fees paid for work not yet performed, and we deliver completed work that has been paid for.
    • Uncured material breach by Grizzly Beam: if we materially fail to deliver the Services in accordance with the approved Estimate and do not cure the failure within 15 days after receiving written notice from the Client describing it, we refund fees paid for work not yet performed.
    • Duplicate charges and billing errors: if the Client is charged more than once for the same invoice or is charged an incorrect amount, we refund the amount charged in error in full.
    • Unauthorized charges: if a charge is confirmed to have been made without the Client's authorization, we refund it in full.

    12. Non-Refundable Items

    Except as expressly provided in this Policy, the following are non-refundable:

    • Deposits and Upfront Payments after Work Begins;
    • payments for Milestones delivered, approved, or deemed accepted;
    • final payments after Launch or delivery of final files;
    • fees for approved Change Requests after work on them begins;
    • Care Plan fees for billing periods that have begun;
    • Third-Party Costs that have been incurred; and
    • late fees and collection costs charged in accordance with the Terms of Service.

    13. Matters That Do Not Qualify for a Refund

    The following, on their own, are not grounds for a refund:

    • a change in the Client's business plans, priorities, budget, or preferences after Work Begins;
    • subjective dissatisfaction with Deliverables that conform to the approved Estimate. Design preferences are addressed through the revision rounds included in the Estimate and, beyond them, through Change Requests;
    • results that depend on factors outside our control, including search engine rankings, visibility in AI assistants or business listings, traffic, leads, conversions, sales, or revenue, which we do not guarantee;
    • delays caused by the Client, including late feedback, approvals, content, access, or payment;
    • issues caused by modifications made by the Client or third parties, or by changes to hosting, plugins, platforms, or other third-party services; and
    • the Client's failure to use the Deliverables or Care Plan services.

    14. How to Cancel or Request a Refund

    14.1 Submitting a Request

    All cancellation and refund requests must be made in writing by email to hello@grizzlybeam.com, with the subject line "Cancellation Request" or "Refund Request." Please include:

    • the Client's business name and the name of the person making the request;
    • the invoice number or Project or Care Plan name;
    • the date and amount of the payment concerned;
    • the Service to be cancelled or the reason for the refund request; and
    • any supporting information.

    Requests must be made by the Client's primary contact, billing contact, or another person authorized to act on behalf of the Client. Cancellation takes effect on the date we receive the written request, unless the Client specifies a later date.

    14.2 Review Process

    • We acknowledge each request within 2 Business Days of receipt.
    • We review the request against the approved Estimate, the Terms of Service, and this Policy, and we may ask for additional information.
    • We send a written decision within 5 Business Days of acknowledging the request, or, for cancellations after Work Begins, together with the cancellation statement described in Section 5.3.
    • If the Client disagrees with our decision, it may reply in writing with its reasons, and we will review the decision again and respond within 5 Business Days.

    15. How Refunds Are Issued

    15.1 Refund Method

    Approved refunds are issued to the original payment method:

    • Card payments are refunded to the card used for the original payment through Stripe. Refunds are typically visible on the Client's statement within 5 to 10 business days after they are issued, depending on the card issuer.
    • ACH payments are refunded to the bank account from which the payment was made, typically within 3 to 5 business days after they are issued, depending on the banks involved.
    • Wire transfers are refunded by wire to the bank account from which the payment was sent. Before sending a wire refund, we verify the Client's banking details through a separate communication channel to protect against fraud.

    We issue approved refunds within 5 Business Days of the written decision. If the original payment method is no longer available, we will issue the refund to another account held in the name of the Client's business, after verification. We do not issue refunds to third parties or to accounts in the name of any person or entity other than the Client.

    15.2 Amounts and Fees

    We do not deduct payment processing fees from approved refunds. Refunds are issued in US dollars. Fees charged by intermediary or receiving banks, and any currency conversion differences, are the Client's responsibility and may reduce the amount received.

    15.3 Account Credit

    At the Client's written request, we may apply a refundable amount as a credit toward future Services instead of issuing a refund. Unless agreed otherwise in writing, credits expire 12 months after they are issued. Credits have no cash value once accepted by the Client.

    16. Payment Disputes and Chargebacks

    16.1 Contact Us First

    If the Client has a concern about any charge, the Client agrees to contact us first at hello@grizzlybeam.com and give us at least 10 Business Days to resolve it before initiating a chargeback or payment dispute with its bank or card issuer. Most billing questions can be resolved quickly through direct communication.

    16.2 If a Chargeback Is Filed

    If a chargeback or payment dispute is initiated:

    • we will respond to the payment processor, card network, or bank and may provide relevant records, including the approved Estimate, the Terms of Service, this Policy, invoices, communications, approvals, and evidence of delivery;
    • we may suspend work on all active Projects and Care Plans until the dispute is resolved;
    • if the dispute is resolved in our favor, the Client is responsible for the disputed amount and for any dispute fees charged by our payment processor; and
    • if the Client withdraws the dispute, we will resume work once the disputed amount is confirmed as paid.

    Initiating a chargeback for Services that were performed or delivered in accordance with the approved Estimate is a breach of the Terms of Service and may result in termination of the engagement. This does not limit any right the Client may have under applicable law or card network rules.

    16.3 Unauthorized Charges

    If the Client believes that a charge was made without its authorization, it should contact us immediately at hello@grizzlybeam.com. We will investigate promptly and refund any charge confirmed as unauthorized, as described in Section 11.

    17. Billing Errors

    The Client should report suspected billing errors in writing within 30 days of the invoice or charge date. We will investigate and correct confirmed errors promptly. Overcharges are refunded as described in Section 15, and undercharges are invoiced separately.

    18. Suspension and Termination for Non-Payment

    If an undisputed amount remains unpaid for more than 14 days after its due date, we may suspend work after giving written notice. If an undisputed amount remains unpaid for more than 30 days after its due date, we may terminate the engagement. In either case, amounts due for work performed remain payable, and ownership of Deliverables transfers only for work that has been paid in full, as described in the Terms of Service.

    19. Clients Outside the United States

    This Policy applies equally to all Clients, regardless of location. Payments and refunds are made in US dollars. International Clients are responsible for bank fees, intermediary fees, and currency conversion costs on both payments and refunds.

    20. Changes to This Policy

    We may update this Policy from time to time. When we do, we will revise the Effective Date at the top of this page. Changes apply to Estimates approved after the Effective Date. For active Projects, the version of this Policy in effect when the Estimate was approved continues to apply. For active Care Plans, material changes take effect 30 days after we notify the Client by email, and the Client may cancel the Care Plan before the changes take effect.
